Item 8.01 Other Events.

As previously announced, in connection with Brickell Biotech, Inc.’s (the “Company”) license agreement-related dispute with Bodor Laboratories, Inc. and Nicholas S. Bodor (collectively, “Bodor”), the Company and Bodor engaged in mediation proceedings. The mediation has proven unsuccessful. As required by the license agreement, the parties are expected to proceed to arbitration to address the dispute. The Company continues to believe that the claims and assertions made by Bodor are in substance without merit.
