Item 8.01                   Other Events.

 

On June 25, 2019, Antero Midstream Corporation (the “Company”) issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference, announcing that the Company’s indirect, wholly owned subsidiaries, Antero Midstream Partners LP and Antero Midstream Finance Corporation, intend to commence a private offering of senior notes due 2028 (the “Notes”). Net proceeds from the offering of the Notes are intended to repay a portion of the outstanding borrowings under Antero Midstream Partners LP’s credit facility (the “Credit Facility”). As of May 31, 2019, a total of $1.25 billion was outstanding under the Credit Facility.

 

This press release shall not constitute an offer to sell or the solicitation of an offer to buy, nor shall there be any sale of these securities in any jurisdiction in which the offer, solicitation or sale would be unlawful prior to the registration or qualification under the securities laws of any such state. The notes will not initially be registered under the Securities Act of 1933 or any state securities law and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act of 1933 and applicable state securities laws.
