Antero Resources Announces Pricing of Upsized $600 Million Offering of Senior Notes

 

Denver, Colorado, May 17, 2021—Antero Resources Corporation (NYSE: AR) (“Antero Resources”) announced today the pricing of its upsized private placement to eligible purchasers of $600 million in aggregate principal amount of 5.375% senior unsecured notes due 2030 at par (the “Notes”). The offering is expected to close on June 1, 2021, subject to customary closing conditions.

 

Antero Resources estimates that it will receive net proceeds of approximately $593 million, after deducting the initial purchasers’ discounts and estimated expenses. Antero Resources intends to use the net proceeds from the offering to fund the previously announced redemption of its 5.625% senior notes due 2023 (the “2023 Notes”) on June 1, 2021 at par plus accrued interest and to use the remaining net proceeds to repay borrowings under its credit facility. The offering of the Notes is not contingent upon the completion of such redemption.

 

The Notes to be offered have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws, and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The Notes will be offered only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States pursuant to Regulation S under the Securities Act.
