Item 8.01 Other Events.

On June 15, 2020, the Board of Directors of Spirit of Texas Bancshares, Inc. (the “Company”) approved an amendment to the Company’s stock repurchase program (the “Amended Program”) authorizing the Company to repurchase an additional $10.0 million of its outstanding shares and extending the conclusion of the Amended Program until June 18, 2021.

Repurchases under the Amended Program may be made in the open market, through block trades or otherwise, and in privately negotiated transactions. Any open market repurchases will be conducted in accordance with the limitations set forth in Rule 10b-18 promulgated under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and other applicable legal requirements. Repurchases may also be made pursuant to a trading plan under Rule 10b5-1 under the Exchange Act, which would permit shares to be repurchased when the Company might otherwise be precluded from doing so because of self-imposed trading blackout periods or other regulatory restrictions. The Amended Program does not obligate the Company to repurchase any shares of its common stock and there is no assurance that the Company will do so. The Amended Program may be extended, modified, suspended or discontinued at any time. A copy of the Company’s press release announcing the Amended Program is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
