Item 1.01. Entry into a Material Definitive Agreement.
On July 10, 2020, Qualigen Therapeutics, Inc. (“Qualigen” or the “Company”), closed its Securities Purchase Agreement (dated July 8, 2020) with a single institutional investor for the purchase and sale for $8,000,000 of (i) 1,140,570 shares of Qualigen common stock, (ii) 780,198 pre-funded warrants (i.e., warrants to purchase shares of Qualigen common stock, for which the exercise price is almost entirely prepaid) and (iii) 1,920,768 two-year warrants to purchase shares of Qualigen common stock for an exercise price of $5.25 per share. Both sets of warrants included a 9.99% beneficial-ownership blocker provision.
Item 8.01. Other Events.
The sale described above was made pursuant to an effective shelf registration statement on Form S-3 (File No. 333-232798) previously filed with the Securities and Exchange Commission (the “SEC”).
On July 10, 2020, the Company filed a prospectus supplement with the SEC, under such shelf registration statement on Form S-3, pertaining to such sale.
On July 10, 2020, the Company issued a press release announcing the closing of such sale. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
As of immediately after the closing of such sale, the Company has 16,829,793 shares of outstanding common stock, 3,066 shares of outstanding Series Alpha Preferred Stock (overlying 4,146,193 shares of common stock potentially issuable upon conversion), and 12,918,791 outstanding common stock options and common stock warrants.
