Item 7.01 Regulation FD Disclosure.
On December 29, 2025, Applied Digital Corporation, a Nevada corporation (the “Company”) issued a press release announcing that it has entered into a non-binding term sheet for a proposed business combination (the “Proposed Transaction”) of its cloud computing business, Applied Digital Cloud, with EKSO Bionics Holdings, Inc. (“EKSO”). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
The information in this Item 7.01 and in Exhibit 99.1 will not be treated as “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section. Depending on the transaction structure, ChronoScale (the go-forward company created as a result of the Proposed Transaction) expects to file with the Securities and Exchange Commission (the “SEC”) a Registration Statement on Form S-4 (as may be amended, the “Registration Statement”), which will include a preliminary proxy statement of EKSO and a prospectus (the “Proxy Statement/Prospectus”) in connection with the Proposed Transaction.
