Item 8.01.  Other Events.

 

On November 26, 2018, Heat Biologics, Inc. (the Company) issued a press release announcing the closing of its previously announced underwritten public offering of 9,200,000 shares of its common stock (inclusive of 1,200,000 shares of common stock subject to the over-allotment option granted to AGP (as defined below), which was exercised in full) together with warrants to purchase up to 4,600,000 shares of its common stock (inclusive of warrants to purchase up to 600,000 shares of common stock subject to the over-allotment option granted to AGP, which was exercised in full) at a combined price to the public of $1.50. A.G.P./Alliance Global Partners acted as the sole book-running manager for this offering (“AGP”). The warrants have an exercise price of $1.65, are exercisable upon issuance and expire five years from the date of issuance. Gross proceeds to the Company from this offering are approximately $13,800,000 before deducting underwriting discounts and commissions and other estimated offering expenses payable by the Company.
