Regulation FD Disclosure.
 
As previously reported, on March 31, 2021, KushCo Holdings, Inc. (“KushCo”) announced that it had entered into a definitive merger agreement with Greenlane Holdings, Inc. (“Greenlane”).

On April 30, 2021, KushCo and Greenlane issued a joint press release announcing the future enterprise leadership team for the proposed combined company, which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
