Notice of Annual General Meeting

On August 5, 2025, TC BioPharm (Holdings) plc (“TC BioPharm” or the “Company”) issued notice of the Company’s Annual General Meeting, a copy of which is furnished as Exhibit 99.1 to this Current Report on Form 6-K. The Company’s Annual General Meeting will be held at Maxim 1, 2 Parklands Way, Holytown, Motherwell, ML1 4WR, United Kingdom on August 29, 2025 at 02:00 p.m. British Summer Time. Furnished (i) as Exhibit 99.2 to this Current Report on Form 6-K is the Form of Proxy for the Bank of New York Mellon (the “Depositary”), (ii) as Exhibit 99.3 to this Current Report on Form 6-K is the Voting Instruction Form for holders of American Depositary Shares (“ADSs”).

Shareholders of record as of 05:00 p.m Eastern Standard Time on August 1, 2025 are entitled to vote at the Meeting. The Company’s holders of ADSs are not shareholders of record, but, under the terms of the Depositary Agreement between the Company, the Depositary and the ADS holders, they will be able to vote by proxy ahead of the meeting, before 12:00 p.m. Eastern Standard Time on August 25, 2025.
